These Terms of Service govern your use of the VentureForge website at ventureforge.co.nz and any Forge engagement services you purchase from us. By using our website or engaging our services, you agree to these terms.
VentureForge is operated by Brendan Ralph, based in New Zealand. References to "VentureForge", "we", "us", or "our" in these terms refer to this entity.
VentureForge offers three commercial opportunity discovery and validation services:
We also offer a monthly Free Forge - a complimentary Instant Forge report for one selected company, published as a public case study with the recipient's consent.
Your Forge engagement begins once we have received your completed brief and your invoice has been paid. Submitting a brief does not constitute a binding agreement - we will confirm your engagement in writing before any work commences.
Current pricing (in New Zealand Dollars, NZD, excluding GST) is as published on our website at the time of engagement:

Prices are subject to change. The price agreed in your engagement confirmation is binding for that engagement.
Payment is due upon receipt of invoice. Work does not commence until payment is received. For Full Forge engagements, the first 50% is due before commencement and the remaining 50% is due upon delivery of the final Commercial Blueprint and Executive Recommendation.
We reserve the right to cancel an engagement and provide a full refund if we determine we are unable to deliver the required quality of output for your specific challenge.
We will use reasonable endeavours to deliver your report within the stated timeframes (48 hours for Instant Forge, 30 days for Fast Forge, 60 days for Full Forge). Timelines are estimates and may be affected by factors outside our control, including delays in receiving necessary information from you.
Deliverables are provided digitally as PDF documents and/or working documents via email or agreed file sharing platform.
We treat all business information you share with us during an engagement as confidential. We will not disclose your business information, strategic plans, or engagement findings to third parties without your written consent, except as required by law.
The VentureForge methodology, framework names, scoring systems, and proprietary tools (including but not limited to the Innovation Collision Engine, Behavioural Market Simulation, Challenge Gate, Concept Prioritisation Matrix, Complexity Leakage Map, Validation Confirmation Score, Commercial Viability Index, and VentureForge Opportunity Score) are proprietary to VentureForge and are provided for your use in the context of your engagement only. You may not reproduce, resell, licence, or use our methodology as the basis for a competing service.
All business information, data, and materials you provide to us remain your intellectual property. You grant us a limited licence to use this information solely for the purpose of delivering your Forge engagement.
Upon full payment of all fees due, you own the strategic insights and recommendations contained in your Forge report and may use them freely in your business. The VentureForge methodology, frameworks, and scoring systems embedded in the report remain our intellectual property.
All content on ventureforge.co.nz - including text, design, case studies, and published Free Forge reports - is owned by VentureForge and may not be reproduced without our written consent.
Applications for the Free Forge are accepted monthly. Selection is at our sole discretion. If selected:
VentureForge reports contain strategic analysis, commercial recommendations, and market intelligence based on available information at the time of engagement. They are advisory in nature and do not constitute a guarantee of any commercial outcome, revenue result, or business success.
Consumer Guarantees Act exclusion: Where you are acquiring our services for the purposes of a business, you agree that the Consumer Guarantees Act 1993 does not apply to those services.
To the maximum extent permitted by New Zealand law, VentureForge's total liability to you in connection with any engagement is limited to the fees paid by you for that specific engagement. We are not liable for any indirect, consequential, or speculative loss, including but not limited to loss of profits, loss of revenue, loss of anticipated savings, loss of business opportunity, and damage to reputation.
Nothing in these terms limits liability for fraud, death, or personal injury caused by our negligence, or any other liability that cannot be excluded by law.
We warrant that we will deliver our services with reasonable care and skill. We do not warrant that our reports will be free from error or that any recommended course of action will achieve the commercial outcomes described. Business outcomes depend on many factors outside our control, including market conditions, execution quality, and timing.
AI and data accuracy: Our analysis is based on publicly available information at the time of engagement, which may be incomplete or inaccurate. Where artificial intelligence tools are used in our process, outputs are reviewed by a human before delivery but may not be free from error. We accept no liability for decisions made in reliance on information sourced from third parties or generated by AI tools used in our process.

These terms are governed by the laws of New Zealand. Any disputes arising from these terms or your use of our services will be subject to the exclusive jurisdiction of the New Zealand courts.
If you are an Australian client, nothing in these terms affects your rights under the Australian Consumer Law where they apply.
We may update these Terms of Service from time to time. The current version will always be published at ventureforge.co.nz/terms.html with the "Last updated" date shown at the top. Continued use of our services after any changes constitutes acceptance of the updated terms.
